Contract: 2022-2024 + 1 year extension

The Willdan master agreement is a one-year agreement that must be extended every year for the duration of the engagement (3 years base + 1 year extension). The extension year to year is accomplished via an amendment to the agreement.

Amendments

All of the scope of work details are amended in the annual extension amendment. The provisions that need to be updated are mostly confined to the Exhibit A: Statement of Work:

1. Start and End dates

2. Number of renewals remaining

3. Base contract amount (Negotiated) and payment frequency

4. Performance payments (if any)

5. Additional Services - these are pass-throughs to SWA for project review. We take a 5% admin fee on them, but the revenues go to SWA via subcontract

We don’t charge sales tax to Willdan because we are doing custom development for them, so under NYS taxes, it is custom software.
